Plain-language terms for reviews, retainers, and worksheets from Umbra Enterprises, LLC.

Who this is

Umbra Enterprises, LLC, a Texas limited liability company based in Dallas-Fort Worth ("Umbra", "we"). These terms apply to the website, the digital worksheets, and every paid review or engagement.

What a review is

A review is an independent reading of a construction or franchise document by a construction management professional. It is diligence: an educational aid that organizes the questions you bring to the professionals you hire. It is not legal advice, not a substitute for the advice of an attorney, and not engineering, architectural, accounting, or investment advice. Umbra does not practice law, engineering, or architecture and does not hold itself out as doing so.

Paid engagements

  • Every paid review or retainer is confirmed by an engagement letter that states the scope, the price, and the turnaround. The letter controls if it differs from this page.
  • The delivery clock starts with a written Start Confirmation after the scope and fee are accepted, payment is received, all required documents and information are confirmed complete, and delivery capacity is confirmed, including the site-walk appointment when the scope includes one. We confirm capacity before requesting payment. The Start Confirmation states the start date and delivery date. Acceptance alone, invoice issuance, and payment alone do not start the clock.
  • Fees are invoiced before work begins unless the engagement letter states otherwise.
  • Findings are for the client named in the engagement letter. You may share them with your contractor, lender, attorney, or board.

Digital worksheets

Worksheets are sold as PDF downloads for your own use on your own projects. You may not resell or redistribute them. See the refund policy.

Limits

You make the decisions on your project; Umbra provides information and opinion to inform them. To the extent permitted by Texas law, Umbra's liability for any engagement is limited to the fee paid for that engagement. Nothing here limits liability that cannot be limited by law.

Independence

Umbra works for owners only, takes no referral fees from contractors or vendors, and will decline any engagement where the firm or its principal has a relationship with the contractor on the other side.

Governing law

Texas law governs these terms. Disputes are heard in the state or federal courts sitting in Dallas County, Texas.
